T-Bill yield and equity bonus mechanics
Statements regarding T-Bill yield and the 10% Equity Bonus represent current intended structuring. T-Bill yields are subject to change with prevailing rates; Equity Bonus realization depends on the appreciation of guaranteed homes and the timing of sale or refinance events, neither of which the funds control.
Pre-Purchase Equity Share Guarantee — novelty
HomeDividend's Pre-Purchase Equity Share Guarantee is, to our knowledge, the only such product currently in market. Investors should consider the operational, regulatory and counterparty risks associated with a novel guarantee structure, including the possibility of regulatory reclassification.
Liquidity and transferability
Interests in the funds are illiquid. There is no public market for fund interests and none is expected to develop. Transfer is restricted under the funds' governing documents and applicable securities laws.
Conflicts of interest
HomeDividend Capital and the HomeDividend platform operating company share affiliated principals. The economics — including the residual share of the 10% Equity Bonus not distributed to LPs — are set forth in the fund documents. Investors should review these provisions carefully.
Fund III segregation
Fund III is intentionally segregated from Fund I and Fund II so that investors with explicit impact mandates are not exposed to guarantees on borrowers who do not meet impact criteria. This segregation is contractual and is reflected in each fund's governing documents.
